Terms Of service & Privacy Policy

1. Who we are

Frogit Pty Ltd ( ABN 42681515346 ) (“Frogit”, “we”, “our”, “us”) operates a mobile-first marketplace enabling users to locate and book sports courts offered by independent venue operators (“Venues”).

2. Your agreement

By tapping Accept, creating an account or using any part of the Frogit website, apps or APIs (collectively the “Platform”), you agree to be bound by: (a) these Terms of Use (“Terms”), (b) our Privacy Policy, and (c) any additional terms shown in-app. If you do not agree, do not use the Platform.

3. Eligibility & accounts

You must be 16+, or 13-17 with verified parent/guardian consent completed through our in-app consent flow (guardian identity, email and digital signature collected and stored) before the account activates.

One account per person; sharing or transfer is prohibited. You are responsible for all activity under your login.

4. Changes to these Terms

Material changes will be notified in-app or by email at least 14 days in advance. Continued use after the effective date constitutes acceptance.

5. Privacy & data

We collect your name, email address and mobile number to operate bookings, support and (with consent) marketing. Personal information is handled under the Privacy Act 1988 (Cth) and Australian Privacy Principles, including the June 2025 privacy-tort reforms.

Data breaches: If a breach is likely to cause serious harm, we will notify affected users and the OAIC as soon as practicable and within 72 hours.

Complaints: Email dev@frogit.me. If unresolved, lodge with the OAIC (OAIC).

6. The Frogit service

Frogit is a marketplace only; we neither own nor operate the courts. Group cost-splitting is no longer provided—participants must arrange payments between themselves. We may pilot features or limit geographic access.

7. Bookings, fees & payments

Prices shown include GST and any mandatory Venue charges. Frogitʼs user-paid service fee is clearly disclosed on the checkout screen immediately before you confirm payment, in line with ACL price-display rules.

Payments are processed in AUD via Stripe. Card surcharges (e.g., international-card fees) are passed through at cost and displayed before checkout.

Cancellations/refunds follow each Venueʼs policy, shown on the booking screen. Automatic refunds apply when a Venue cancels. Failed or reversed payments may result in account suspension until resolved.

8. Consumer guarantees

Nothing in these Terms limits your non-excludable rights under the Australian Consumer Law.

9. Promotions & credits

Credits are discretionary, non-transferable, and may expire. Fraud or breach voids credits.

10. Acceptable use

No harassment, illegal conduct, scraping, or off-platform booking with Venues located via Frogit.

11. User content

You grant Frogit a worldwide, royalty-free, perpetual licence to use UGC for Platform operation and promotion. We may retain UGC necessary for legal or auditing purposes even after account deletion, consistent with APP 11.

12. Health, insurance & assumption of risk

Sport entails injury risk. Frogit does not provide personal accident or liability insurance; obtain your own cover. Participation is at your own risk.

13. Liability & indemnity

Subject to section 8, Frogitʼs aggregate liability is capped at AUD $100 or the total fees you paid in the preceding 3 months, whichever is higher. We are not liable for indirect loss or Venue acts. You indemnify us against claims arising from your breach or misuse.

14. Third-party platforms

Apple Inc. and Google LLC are not parties to these Terms and have no obligation to provide support.

15. Termination

We may suspend or terminate your account for breach, fraud or legal risk. You may delete your account at any time.

16. Dispute resolution & governing law

These Terms are governed by the laws of Victoria, Australia. Disputes > AUD $10k go to Victorian courts; ≤ AUD $10k may be resolved via binding online arbitration under Australian Disputes Centre rules.

17. Unfair contract terms

Any term found unfair under the enhanced UCT regime is severed without affecting the remainder.

18. Electronic communications & marketing

By registering, you consent—in accordance with the Electronic Transactions Act 1999 —to receive service emails, push notifications and booking-related SMS. Marketing emails/SMS require express opt-in consent, include easy unsubscribe, and comply with the Spam Act 2003 and Do Not Call Register Act 2006 where an SMS invites you to call us.

19. Force majeure

Neither party is liable for delay or non-performance caused by events outside reasonable control (e.g., natural disaster, government restriction).

20. Future regulatory changes

We may update these Terms to comply with any mandatory ACCC digital-platform industry codes adopted following the 2025 Digital Platform Services Inquiry final report.

21. Entire agreement & assignment

These Terms and the Privacy Policy are the entire agreement between you and Frogit. We may assign our rights on notice; you may not assign without consent.
